The Securities Act of 1933, Sections 11 and 12(a) (2), subject Underwriters to potential liability for the failure to ensure the accuracy of information provided in registration statements and prospectuses. Three months after the public offering for the MF Global 3.375% Convertible Senior Notes, MF Global filed a petition for Chapter 11 bankruptcy protection.
